Terms of Service

By creating a Farmwise account or using any part of the Farmwise platform — including the farmer mobile app, the organisation dashboard, and the marketing website — you agree to be bound by these Terms of Service. If you are using Farmwise on behalf of an organisation (a cooperative, company, or government agency), you confirm that you have the authority to bind that organisation to these terms. If you do not agree with any part of these terms, you must not use the platform.

Farmwise is a farm management platform operated by White Rabbit Agro Ltd (Nigeria). The platform provides: Farmer App: A mobile-first application for individual farmers to manage plots, crops, livestock, aquaculture, beehive records, activities, and farm finances. Organisation Dashboard: A web dashboard for cooperatives, government agencies, and agribusinesses to manage farmer networks, deploy field agents, create production contracts, and access aggregated farm data. Supporting Services: Yield forecasting, credit scoring, produce traceability, and farm loan facilitation. We reserve the right to modify, suspend, or discontinue any feature of the platform at any time, with reasonable notice where practical.

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@farmwise.ng if you suspect any unauthorised access to your account. You must be at least 18 years old to create an account. If you are registering a farmer under the age of 18, you confirm that you have parental or guardian consent.

Farmers retain ownership of their own farm records — plot data, production records, activity logs, and financial records created on the platform. By using Farmwise, you grant White Rabbit Agro Ltd a non-exclusive licence to process, store, and share your data as described in our Privacy Policy and as required to deliver the platform's services. If you are registered under an organisation on Farmwise, that organisation's administrators and assigned field agents will have access to your farm records for the purposes of managing the cooperative or programme you are enrolled in. You consent to this access by joining that organisation's network on the platform.

Organisations (cooperatives, government agencies, agribusinesses) using the Farmwise dashboard are responsible for: — Ensuring they have appropriate authorisation from the farmers they register or manage on the platform — Using farmer data only for the legitimate purposes of their programme or cooperative — Keeping their field agent accounts secure and ensuring agents use the platform only for authorised activities — Ensuring that production contracts published on the platform are fair, lawful, and accurately described Organisations must not use farmer data for purposes beyond what is disclosed to those farmers or permitted under Nigerian data protection law.

Contracts published on the Farmwise platform by organisations are binding agreements between the publishing organisation and the farmers who are approved onto those contracts. Farmwise facilitates the contract management process — publishing, applications, qualification, and milestone tracking — but is not a party to any production contract between an organisation and a farmer. Disputes arising from production contracts are between the contracting parties. Farmwise may provide platform records as evidence in good faith but bears no liability for contract performance or non-performance by either party.

The credit score generated by Farmwise is a data-driven assessment tool based on farm records held on the platform. It is not a guarantee of creditworthiness and is not regulated financial advice. Loan products available through or linked to the Farmwise platform are provided by third-party lenders, not by Farmwise or White Rabbit Agro Ltd. Loan terms, interest rates, and repayment obligations are governed by the agreements between you and the lender. Farmwise is not liable for loan decisions made by lenders using platform data.

You must not use the Farmwise platform to: — Submit false or fabricated farm records, plots, or production data — Impersonate another farmer, agent, or organisation — Access data belonging to farmers or organisations you are not authorised to view — Attempt to reverse engineer, copy, or extract the platform's software or database — Use the platform for any purpose that is unlawful under Nigerian law or the laws of any jurisdiction where you operate — Interfere with the platform's infrastructure, security measures, or other users' access

The Farmwise platform, including its software, design, trademarks, and content, is owned by White Rabbit Agro Ltd. Nothing in these terms grants you any right to use Farmwise's name, logo, or trademarks without our prior written consent. Farm data created by users remains the property of those users as described in Section 4.

To the maximum extent permitted by Nigerian law, White Rabbit Agro Ltd shall not be liable for: — Loss of income, profit, or harvest resulting from reliance on platform forecasts or recommendations — Data loss caused by user error, device failure, or connectivity issues — Losses arising from contracts entered into between organisations and farmers through the platform — Indirect, incidental, or consequential damages arising from platform use Our total liability to you for any claim arising from these terms or your use of the platform shall not exceed the fees (if any) you paid to Farmwise in the 12 months preceding the claim.

You may close your Farmwise account at any time by contacting info@farmwise.ng. We will retain data as described in our Privacy Policy. We may suspend or terminate your account if you breach these terms, if required by law, or if your account is inactive for an extended period. We will provide reasonable notice where practical before termination. Sections 4, 6, 9, 10, and 12 survive termination of your account.

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or your use of Farmwise shall be subject to the exclusive jurisdiction of the courts of Nigeria.

We may update these Terms of Service from time to time. Material changes will be communicated via the platform or by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised terms.
